Data Processing Agreement

1. Subject Matter

This DPA governs the processing of personal data by Usebot on behalf of the Controller through the Usebot chatbot platform.

2. Duration

Processing continues for the duration of the service agreement unless otherwise instructed.

3. Nature and Purpose of Processing

• Hosting and operation of chatbots
• Capturing and storing chatbot conversations
• Lead collection and form submissions
• AI-assisted message processing (if enabled)

4. Categories of Data Subjects

• Website visitors
• Prospective customers
• End users interacting with chatbots

5. Types of Personal Data

• Names
• Email addresses
• Phone numbers
• Message content
• Conversation transcripts

6. Controller Obligations

The Controller:

• determines the purposes and means of processing
• ensures a lawful basis for collecting end-user data
• provides required privacy notices
• responds to data subject rights requests

7. Processor Obligations

Usebot shall:

• process data only on documented instructions
• ensure confidentiality
• implement appropriate security measures
• assist with data subject requests
• notify the Controller of personal data breaches without undue delay
• delete or return data upon termination

8. Sub-Processors

The Controller authorises Usebot to engage sub-processors listed in the Privacy Policy. Usebot will notify customers of material changes.

9. International Transfers

Transfers outside the UK will use UK-approved safeguards.

10. Security Measures

See Section 8 of the Privacy Policy.

11. Audits

Upon reasonable request, Usebot will provide information necessary to demonstrate compliance.

12. Liability

Liability is governed by the main service agreement.

13. Governing Law

This DPA is governed by the laws of England and Wales.
